                             Terms and Conditions for the Purchase and Sale of Goods (version 2026.03.01)

1. General Provisions 1.1. These Terms and Conditions define the terms of use of the online store protokodas.lt (hereinafter – the Store) operated by UAB [or individual activity performer's name, surname, company code] (hereinafter – the Seller), and the rights and obligations of the Buyer and the Seller. 1.1¹. These Terms and Conditions are an integral part of the Purchase and Sale Agreement. 1.2. By placing an order in the Store, the Buyer confirms that they have read these Terms and Conditions and the Privacy Policy and fully agree with them. 1.3. The Seller reserves the right to amend or supplement the Terms and Conditions at any time. The latest version of the Terms and Conditions is always published in the Store, and the Buyer is informed about significant changes by email or on the website. 1.4. 2. Conclusion of the Agreement 2.1. The Purchase and Sale Agreement is considered concluded from the moment the Buyer places an order and successfully makes a payment through the chosen payment system. 2.2. After successful payment, the Buyer is immediately granted access to the purchased digital product. 2.3. By placing an order, the Buyer confirms that they understand the nature of the digital product and agree to the Terms and Conditions.

3. Nature of Products 3.1. The Store sells only digital products (PDF documents, digital protocols, self-improvement and discipline methodological materials, other digital content). 3.2. All products are informational and educational in nature. 3.3. Products are not medical, psychological, psychotherapeutic, psychiatric, or any other healthcare services, recommendations, or treatment. They cannot replace consultation with a qualified specialist. The Seller is not responsible for any decisions made based on the material. 3.4. The Seller does not guarantee any specific results, as these depend on the Buyer's personal efforts, circumstances, and other factors.

4. Payment 4.1. Payment can be made through the secure MakeCommerce.lt platform using: electronic banking (Swedbank, SEB, Luminor, Citadele, Šiaulių bankas, etc.), Visa / MasterCard cards. 4.2. All payment transactions are carried out securely; the Seller does not have access to the Buyer's bank card or other payment data.

5. Delivery of Digital Products 5.1. Products are provided immediately after successful payment (within a few seconds/minutes). 5.2. Delivery methods: download link, email, in the account in the Store. 5.3. The Seller is not responsible for problems arising from an incorrectly provided email address, the Buyer's technical devices/internet connection, or third-party errors (e.g., mail server). In such a case, the Seller will provide alternative access within 48 hours after contact.

6. Right of Withdrawal and Refunds 6.1. Pursuant to Article 6.228¹² of the Civil Code of the Republic of Lithuania and EU Directive 2019/770, the consumer does not have the right to withdraw from a contract for the provision of digital content if the content is provided immediately and the consumer explicitly agrees and acknowledges that they thereby lose their right of withdrawal. **6.2. By purchasing the product, the Buyer expressly and in advance agrees that:

  • the digital content will be provided immediately after payment;
  • for this reason, they lose the right to withdraw from the contract within 14 days and demand a refund.** This consent is confirmed by ticking the appropriate box/button "I agree to the Terms and Conditions and waive my right of withdrawal" during the order. 6.3. Due to the nature of the digital product (it is personalized, provided immediately, and cannot be returned without infringing on copyright), all sales are final: products are non-refundable, non-exchangeable, and no money is refunded. 6.4. An exception is made if the product is technically unavailable due to the Seller's fault (e.g., server failure) – in this case, a refund will be issued within 14 days after contacting the Seller.

7. Limitation of Liability 7.1. The products are methodological materials for self-improvement and discipline. 7.2. The Seller is not liable for any direct or indirect damages arising from the use of the material, including (but not limited to) health, financial, or emotional damages. 7.3. The Seller's liability is limited to the amount paid by the Buyer for the specific product. 7.4. The Buyer assumes full responsibility for their decisions and actions based on the information provided.

8. Technical Problems 8.1. If, due to technical reasons, the Buyer cannot download/access the product, please contact [your email address] within 7 days of purchase – the Seller will provide alternative access free of charge.

9. Copyright 9.1. All products are protected by the Law on Copyright and Related Rights of the Republic of Lithuania and EU Directives. 9.2. It is prohibited to copy, distribute, resell, share, or publicly publish the products in any form without the written permission of the Seller. Violations will result in civil and criminal liability.

10. Personal Data 10.1. Personal data is processed in accordance with the Privacy Policy (link in the Store), GDPR, and Lithuanian legal acts.

11. Final Provisions 11.1. These Terms and Conditions are governed by the laws of the Republic of Lithuania. 11.2. All disputes shall be resolved through negotiations. If negotiations fail, disputes shall be resolved in the courts of the Republic of Lithuania according to the Seller's registered office or, in accordance with the Consumer Rights Protection Law, at the State Consumer Rights Protection Authority (www.vvtat.lt). 11.3. These Terms and Conditions are valid from 2026.03.01 and apply to all orders placed after this date.
